WEBcouk Roles, Responsibilities and Terms of Business

At WEBcouk, we aim to keep jargon to a minimum and to make it as easy as possible for you to do business with us. In order that we can deliver your project in a timely and cost-effective way, there are necessarily a small number of things we all have to understand and agree upon.
 
The ‘Roles, Responsibilities and Terms of Business” set out below, do exactly what you might expect – that is, they define what we need to do; what we require of you and how we will do it.
 
If you require clarification of any of these points, please contact WEBcouk and we will do out utmost to clarify anything causing concern.
 

1. Order Acceptance & Payment

a. Once you have a proposal with which you are happy, we ask you to provide a formal acceptance of this and this will normally be via email or if you prefer, fax. Verbal confirmation is acceptable providing we are able to take a deposit via credit card at the time of order. The deposit will be fifty percent (50%) of the order value or £500 (+ VAT) – whichever is the lesser amount.
 
b. If you are unable to pay by credit/debit card, we will require payment by cheque, BACS or other electronic transfer. We will commence work on the project when we have cleared funds in our bank account – this is due to cancellation of order by customers simply changing their mind. Once the development process has commenced, it is not possible to refund the deposit.
 
c. Staged payments will be required after three (3) weeks or when the website design is approved by the customer – whichever is the sooner. This will be for half of the remaining fee.
 
d. The final payment will be due when the customer approves the final web site. After receipt of the final payment, the site will be available on the Internet within twenty-four (24) hours.
 

2. The Development Process

a. WEBcouk will create an initial design for your approval. Once agreed, we will continue with development of the other pages/sections of the web site. To do this, we will require the content i.e. the text and the images.
 
b. If WEBcouk need to provide additional images and/or photographs which were not part of the original proposal, an additional charge may be incurred. We will discuss this with you and agree what to do and any charges before proceeding.
 
c. We will make you aware of any usage restrictions and/or on-going charges associated with copyrighted material so that you can decide whether and how to proceed. WEBcouk will ensure that we conform to usage terms & conditions for any work we undertake. We cannot accept responsibility for any other use of such images by you or any third party.
 
d. Your web site may contain ‘Open Source’ software / components. This is software which is made available for use free-of-charge by the ‘Internet Community’. WEBcouk cannot own this software, neither can we charge you for it; neither can you own it. Any charges we make are solely for the time we take to integrate any such software or component into your web site and/or for any maintenance of your web site and/or its’ constituent parts.
 
e. If you move your web site to another provider, you may take it as a whole including any Open Source components.
 
f. With the exception of the exclusions detailed above in Section 2, rights of ownership to all design and content pass to the customer on receipt of the final payment and we have cleared funds at in our bank account. You can move your site at any time subject to all monies owing being paid.
 

3. The Implementation Process

a.When you ordered your web site, it will have been agreed whether or not WEBcouk will be hosting it. Hosting is the term used to describe the storage of a web site on a computer called a ‘Web Server’. It will also have been decided whether you would be using an existing Domain Name or registering a new one. A Domain Name is the Internet name by which your web site or you (for email purposes) is identified e.g.
www.webcouk.co.uk / info@webcouk.co.uk – webcouk.co.uk is the domain name.
 
i. If WEBcouk are to register the domain name and host the site, we will undertake all activity associated with this so that your web site is available. Otherwise, we will make the web site available to you or your agent so that you/they can undertake the necessary work.
 
b. If you or an agent acting on your behalf are going to implement the web site WEBcouk cannot accept any responsibility for any problems you encounter and any additional work undertaken by us will be charged for at a rate to be agreed at the time.
 

4. Other Services

WEBcouk are able to provide a range of value-added and ancillary services associated with your web site. These are charged at an additional cost unless they are clearly documented and agreed in writing as being part of the initial project – in which case, additional charges will be due after the initial twelve (12) month period.
 
a. Hosting: Hosting for the first year is always included in the web site quotation irrespective of whether the service is utilised. Hosting for the second year is charged as a separate item.
 
b. WEBcouk will automatically invoice for this service at the end of the first year. If the service is not required, then you must inform us in writing before the renewal date. If you wish to cancel once the invoice is issued, you may do so by paying the equivalent of ten percent (10%) of the annual charge plus the cost of the domain name (if we are hosting the domain name) providing your payment and your cancellation notice reach our office within thirty (30) days of the invoice date. Otherwise, the annual charge will apply.
 
c. Domain Name: for the first year one domain name (.co.uk or .com) is always included in the web site quotation irrespective of whether the service is utilised. WEBcouk will automatically invoice for this service at the end of the first year. If you are hosting your web site with us, then the domain name will automatically be renewed with the hosting service and the terms as set out in 4b above will apply.
 
If you are only hosting the domain name with us and you no longer require the service, you must inform us in writing before the renewal date. Unfortunately it is not possible to cancel the domain name once we have issued the invoice as we will already have paid the renewal fee so the charges for that year will fall due. However, we will limit these to the domain name renewal costs for that period.
 
WEBcouk cannot accept any responsibility for the registration or renewal of a domain name which is not hosted on our servers and/or managed by us.
 
d. If a domain name is lost i.e. the renewal process fails for any reason, whether or not the domain name is under WEBcouk’s stewardship, our liability is limited to the charges made for the service provided and we will make reasonable endeavours to recover the domain name or to register an acceptable alternative.
 
e. Domain names cannot be released or transferred to another provider if monies due under this agreement remain unpaid.
 
f. You must ensure that you have the legal right to use a domain name you ask us to register for you. It is possible for companies and individuals to challenge the use of a domain name if they believe it infringes, their trademark, intellectual property or their established trading business.
 
g. Maintenance: Any maintenance activity which you wish WEBcouk to undertake will be clearly identified as part of the quotation. If required for the first year, then the cost will be included with your development fee. Thereafter, a charge will be made by agreement based on your requirements. If you do not require maintenance after the first year, then no charge will be made.
 
h. Search Engine Optimisation: WEBcouk design all web sites to be ‘search engine friendly’ i.e. they will be developed in a manner which conforms to good practice and enhances the chance of achieving a good search engine ranking.
 
i. WEBcouk provide a service which provides additional activity with regard to search engine optimisation and registration. Unfortunately, we cannot guarantee search engine rankings neither can we accept any responsibility whatsoever for the position of your web site in any search engine whether or not you have paid us for this service.
 
j. AdWord Campaigns: Some search engines provide the capability to pay for advertising. WEBcouk can provide a service to implement and manage such a campaign although we are unable to guarantee that you will generate business from such a service/campaign.
 

5. Disputes & Resolution

It is a sad fact of business that occasionally, a dispute can arise. At WEBcouk, we do our utmost to avoid this. However, should the unthinkable happen, how will it be handled:
 
a. We will discuss your concerns openly and candidly and try to ascertain if WEBcouk may be fully, in part or in totally not responsible for the problems associated with the dispute.
Depending on the outcome of this, we will:
 
i. Refund any monies paid up to the value of the project.
 
ii. Refund part of the monies paid.
 
iii. Take a position that we will retain the monies paid but make no further charges.
 
iv. Seek full payment for the web site.
 
Depending on the nature of any dispute, we may recommend going to independent arbitration for a ruling but of course, the principle aim is to avoid any such disputes and WEBcouk have a proud track record of doing so. If a dispute goes to arbitration neither party is bound to abide by any ruling.
 
Unfortunately, simply changing ones’ mind is not a valid dispute. However, depending where we are in the process, we will always talk about what charge it is reasonable to make and whether a refund is available. This will be at our sole discretion.
 

6. General

a. WEBcouk will not enter into any project or business relationship where the nature of the web site or the business behind it, are not compliant with UK and international law.
 
b. We reserve the right to withdraw from any quotation process or refuse any ‘order’ without reason or penalty if we deem it necessary to do so.
 
c. We will cease immediately, any development project if it comes to light that the proposed web site or the customer’s business activities are not legal in any way.
 
d. WEBcouk cannot accept liability for consequential losses under any circumstances.
 
e. Any refunds provided will be at the sole discretion of WEBcouk.
 
f. Any refund offered by WEBcouk will be Without Prejudice to our business and will be limited to the value of the actual monies paid for the service in dispute and will be limited to monies paid in the three (3) months prior to the date that the complaint was first received in writing at WEBcouk.
 
g. Any dates quoted (verbal or written) by WEBcouk in connection with the provision of any website shall be treated as estimates only. WEBcouk accepts no liability for failure to meet such dates and time shall not be of the essence of the agreement for this purpose and as such refunds may not be given.
 
h. The contract between WEBcouk and the customer will be governed by English law and unless agreed in writing, the terms set-out herein will form the entire agreement between WEBcouk and the customer.
